These Terms and Conditions (“Round Terms”) apply to your subscription to The Round, a membership program operated by Modern Milkman, LLC (“Modern Milkman”, “we”, “us”, “our”).These Round Terms supplement and form part of the Modern Milkman US Terms and Conditions available at:https://us.modernmilkman.com/terms (the “US Terms”).If there is any conflict between these Round Terms and the US Terms, these Round Terms will prevail in relation to The Round.
1. The Round Membership
1.1 The Round is a paid membership program providing opted-in customers with exclusive benefits in exchange for a fixed monthly or annual subscription fee (the “Round Fee”).1.2 At launch, The Round may be offered only to selected customers. Availability may expand over time.1.3 Membership Benefits. Depending on your selected plan, benefits may include (non-exhaustive):
Free delivery fees on qualifying orders.
Additional benefits or tiers may be introduced from time to time.
1.4 Program Changes. We may modify The Round, its benefits, pricing, or these Terms. Material changes will be communicated via email or prominent in-service notice (“Notice of Change”). Continued use after the effective date constitutes acceptance. If you do not agree, you must cancel before the change takes effect. Changes will not reduce any legally required cancellation rights or notice obligations that apply to you based on your state of residence.
2. Eligibility & Availability
2.1 To join The Round, you must:
Be 18 years or older;
Have an active Modern Milkman account in good standing; and
Primarily use the service in the United States.
2.2 The Round is available via our website.2.3 We reserve the right to verify eligibility and suspend or terminate memberships that do not meet these requirements.
3. How to Sign Up
3.1 You may enroll in The Round:
During the checkout process on your first purchase; or
4.1 To administer The Round, we may request information including:
Date of birth (for birthday rewards);
Household details (for relevant offers); and
Allergen information (to avoid unsuitable samples).
4.2 All personal data is processed in accordance with our US Privacy Policy, available via the US Terms. You may update or withdraw optional data at any time.
5. Cancellation by You
5.1 You may cancel your membership at any time via your account dashboard or as otherwise communicated.
5.2 Cooling-Off Period (First 24 Hours)
If you cancel your membership within 24 hours of initial sign-up, you are entitled to a full refund of the Round Fee. Your membership will be cancelled immediately and all benefits will end at that time.
6. Suspension, Termination & Abuse
6.1 Suspension or Termination for Cause
We may suspend or terminate your Round membership if we reasonably believe you have engaged in misuse, abuse, or fraudulent activity in connection with The Round or the Modern Milkman service.If your membership is terminated for cause, no refund will be issued, except where required by applicable law.
6.2 Termination Without Cause
If we terminate your Round membership for reasons other than your breach or misuse, we will provide a pro-rated refund of the unused portion of the then-current billing period.
6.3 Effect of Termination
Upon termination of your membership:
Access to Round benefits will end immediately or at the end of the applicable period described above;
No further Round Fees will be charged; and
Any unused benefits do not carry over or convert to cash.
7. Fees, Billing, Auto-Renewal & Renewal Notices
7.1 Round Fee and Separate Charge. The Round Fee is charged to the payment method you provide at sign-up (and may be updated in your account). The Round Fee may appear as a separate transaction.7.2 Start of Membership. Your membership begins on the date your first Round Fee is successfully processed.7.3 Auto-Renewal.Unless you cancel before renewal, your membership will automatically renew at the end of each billing period (monthly or annual) and we will charge the Round Fee (plus applicable taxes) to your saved payment method.7.4 Your Authorization (Affirmative Consent). By selecting a plan and completing enrollment (for example, by clicking a button labeled “Pay,” “Join,” “Start Membership,” or similar), you:
Confirm you understand the membership is recurring until cancelled; and
Authorize us to charge the Round Fee automatically at the stated frequency until you cancel.
7.5 Acknowledgement. After you enroll, we will provide an acknowledgement (for example, by email or in-app confirmation) that includes the key membership terms, including the Round Fee, renewal frequency, and how to cancel.7.6 Failed Payments. If a payment fails and is not successfully processed, we may suspend benefits or cancel membership. Amounts due remain payable.7.7 Price Changes. We may change the Round Fee with advance notice. Price changes apply at your next renewal following such notice, unless applicable law requires a different approach.7.8 Plan Changes. If you switch between monthly and annual plans, we will disclose any prorations or timing changes before you confirm the switch.7.9 Renewal Reminders. We will send a renewal reminder before renewal. The reminder will include how to cancel and any required renewal details.
8. Vouchers, Trials & Third-Party Offers
8.1 From time to time, we may offer trials, promotional pricing, or third-party benefits. Each offer is subject to its own terms.8.2 Unless cancelled before the end of a promotional period, your membership will continue at the standard Round Fee.8.3 Multiple offers may not be combined unless expressly stated.
9. Membership Tiers
9.1 We may offer different plans or tiers with varying benefits.9.2 Benefits may be modified, substituted, or removed with Notice of Change.
10. Disclaimers & Limitation of Liability
10.1 Nothing in these Terms limits liability where prohibited by law.10.2 To the fullest extent permitted by law, Modern Milkman is not liable for:
Indirect, incidental, or consequential damages;
Losses not caused by our breach; or
Events beyond our reasonable control.
11. Governing Law, Arbitration & Class Action Waiver
11.1 These Round Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.11.2 Binding Arbitration.Any dispute arising out of or relating to The Round shall be resolved by binding arbitration, as set out in the US Terms.11.3 Class Action Waiver.You agree to bring claims only in your individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding.
